BILLING MECHANICS

 

Q. How does Time & Material (T&M) billing work?

Ans: You reserve dedicated engineering capacity at agreed hourly or monthly rates.

  • Billing is monthly, in arrears
  • Based on actual productive hours logged
  • Timesheets include billing period, role allocation, and total hours
  • You have 5 business days to review and approve
  • No response within that window = deemed approved

Minimum commitment: 160 hours per month per full-time engineer.

You pay for actual capacity utilized, not projected estimates.

 

Q. What triggers payment in Milestone-Based billing?

Ans: Payment is triggered by delivery and formal acceptance of a defined milestone.

Here’s how it works:

  1. We deliver the milestone as defined in the SOW
  2. Deliverables are shared with documented acceptance criteria
  3. You have an agreed review window (typically 5–10 business days)

If accepted → invoice is issued.

If revisions are required → feedback must reference the predefined acceptance criteria.

No milestone delivered = no payment.

Q. How does T&M + Sprint Commitments work?

Ans: This model combines capacity flexibility with delivery accountability.

At the start of each sprint:

  • Deliverables are mutually agreed
  • Dependencies are documented

If commitments are missed due to our performance (not client-side blockers):

  • Root cause analysis within 5 business days
  • Remediation plan
  • Defined recovery sprint

You retain flexibility in scope, with clear accountability for output.

Q. When is the kickoff invoice raised?

Ans: For Milestone-Based engagements:

20% of the first milestone value is invoiced upon SOW signing.

This covers:

  • Team assembly
  • Onboarding
  • Project planning
  • Initial sprint setup

Work begins immediately after kickoff confirmation.

Q. What payment terms do you offer?

Ans:

  • Net 15 (default)
  • Net 30 (standard for enterprise clients)
  • Net 60+ requires leadership approval

A late payment will incur a 1.5% monthly interest rate (or the statutory maximum).

If payments are not received within 30 days of the due date, we reserve the right to stop work with 10 business days’ written notice.

SCOPE AND CHANGES

 

Q. What happens if I want to add features mid-project?

Ans: It depends on your billing model:

  • T&M: Scope adjusts during sprint planning, add, reprioritize, or remove within available capacity.
  • Milestone-Based: Changes trigger milestone review. We define the timeline and cost impact before proceeding.
  • Fixed-Cost: A formal Change Order is required, scope is redefined, re-estimated, approved, then executed.

No work changes without your approval.

Q. Is there a process for urgent scope changes?

Ans: Yes, the Swap Rule.

You can replace an item with another of equal effort within the same sprint or milestone:

  • No timeline impact
  • No repricing
  • No formal change request

If total effort increases, the standard change process applies.

Q. What if our priorities shift significantly?

Ans: The engagement adjusts based on the model:

  • T&M: Priorities shift naturally during sprint planning.
  • Milestone-Based: Completed milestones are billed; future milestones are redefined.

All timeline and commercial impacts are documented before execution. Nothing changes silently.

Q. What is the contractual structure of an engagement?

Ans: Each engagement is governed through two structured layers:

  • Master Services Agreement (MSA)
  • Defines the overarching legal framework
      • Confidentiality
      • Intellectual property ownership
      • Liability and indemnification
      • Data protection and compliance
      • Dispute resolution
  • Statement(s) of Work (SOW)
    • Defines engagement-specific terms
      • Delivery model
      • Billing structure
      • Team composition
      • Milestones and timelines
      • Commercial commitments

This structure keeps the legal foundation stable while allowing flexibility across multiple engagements.
